Terms of Service

1. Introduction

Welcome to Frauduless ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, services, and platform (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

2. Acceptance of Terms

By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a company or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

3. Description of Services

Frauduless provides a platform for managing Bill of Lading (BOL) documents, shipment verification, and related logistics services. Our Service includes:

  • Digital BOL creation and management
  • QR code-based pickup and delivery verification
  • Automated notifications via email and SMS
  • Document storage and tracking
  • Related logistics and verification tools

4. Account Registration

To use our Service, you must:

  • Create an account by providing accurate, current, and complete information
  • Maintain and update your account information to keep it accurate
  • Maintain the security of your account credentials
  • Be responsible for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account
  • Be at least 18 years old or have the legal capacity to enter into contracts

5. Billing and Payment Terms

5.1 Subscription Plans

Our Service is offered on a subscription basis with the following pricing structure:

  • Base Monthly Fee: $499 per month
  • Included Loads: 150 loads per month included in the base fee
  • Overage Pricing: Additional loads beyond 150 are charged based on your total monthly volume at the following rates:
    • 151-500 loads: $3.00 per overage load
    • 501-1,000 loads: $2.75 per overage load
    • 1,001-2,500 loads: $2.50 per overage load
    • 2,501-5,000 loads: $2.25 per overage load
    • 5,001-10,000 loads: $2.00 per overage load
    • 10,001+ loads: $1.75 per overage load
  • Overage Rate Calculation: The overage rate is determined by your total monthly load count, and all overage loads are charged at the same rate tier.

5.2 Payment Methods

We accept the following payment methods:

  • Credit or debit cards (Visa, Mastercard, American Express)
  • ACH bank transfers (US Bank Account)

5.3 Billing Cycle

Subscriptions are billed monthly in advance. Your billing cycle begins on the date you subscribe and renews automatically on the same day each month. Overage charges are calculated and billed at the end of each billing period based on your actual usage.

5.4 Payment Processing

Payments are processed securely through Stripe, our third-party payment processor. By providing payment information, you authorize us to charge your payment method for all fees due under your subscription.

5.5 Failed Payments

If a payment fails, we will attempt to charge your payment method again. If payment continues to fail:

  • Your account may be suspended until payment is successfully processed
  • We may require you to update your payment method
  • We reserve the right to terminate your subscription after repeated payment failures

5.6 Promotional Codes

Promotional codes, discounts, or trial offers (such as "FREETRIAL") are subject to their specific terms and conditions. Promotional offers cannot be combined unless explicitly stated. We reserve the right to modify or discontinue promotional offers at any time.

5.7 Refunds and Cancellations

You may cancel your subscription at any time through your account settings or by contacting us. Cancellations take effect at the end of your current billing period. We do not provide refunds for:

  • Partial billing periods
  • Unused included loads
  • Overage charges already incurred
  • Fees paid for services already rendered

Refunds, if any, are at our sole discretion and will be processed to the original payment method within 30 days.

5.8 Price Changes

We reserve the right to modify our pricing at any time. Price changes will be communicated to you at least 30 days in advance and will take effect at the start of your next billing cycle. Continued use of the Service after the price change constitutes acceptance of the new pricing.

6. SMS and Text Messaging Terms

By providing your mobile phone number and checking the SMS consent box during registration, you agree to receive recurring automated transactional text messages from Frauduless at the mobile number you provided. These messages may include:

  • Account alerts and notifications
  • Order and shipment updates
  • Service notifications and verification codes
  • Billing and payment reminders

Message Frequency: Message frequency varies based on your account activity and service usage.

Consent: Your consent to receive SMS messages is not a condition of purchase. You may opt out at any time by:

  • Replying "STOP" to any message
  • Replying "HELP" for assistance
  • Contacting us at support@frauduless.com

Message & Data Rates: Message and data rates may apply as determined by your mobile carrier. Frauduless is not responsible for any charges incurred from your mobile carrier.

Carrier Support: Our SMS service is provided via 10DLC (10-Digit Long Code). Not all carriers may support all features. We are not responsible for carrier limitations or restrictions.

7. User Responsibilities

You agree to:

  • Use the Service only for lawful purposes and in accordance with these Terms
  • Provide accurate and truthful information in all BOLs and documents
  • Comply with all applicable laws and regulations
  • Not use the Service to transmit any harmful, illegal, or unauthorized content
  • Not attempt to gain unauthorized access to the Service or other users' accounts
  • Not interfere with or disrupt the Service or servers
  • Not use automated systems to access the Service without our prior written consent
  • Maintain the confidentiality of your account credentials

8. Intellectual Property

The Service, including its design, features, functionality, and content, is owned by Frauduless and protected by intellectual property laws. You retain ownership of any data, documents, or content you create or upload through the Service. By using the Service, you grant us a limited, non-exclusive license to use, store, and process your content solely for the purpose of providing the Service.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRAUDULESS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including but not limited to:

  • Violation of these Terms
  • Non-payment of fees
  • Fraudulent or illegal activity
  • At our sole discretion

Upon termination, your right to use the Service will immediately cease. We may delete your account and data, though we may retain certain information as required by law or for legitimate business purposes.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the effective date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of competent jurisdiction.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Frauduless regarding your use of the Service and supersede all prior agreements and understandings.
